Platform End User Licence Agreement
Verigent Group, LLC — Platform End User Licence Agreement
Effective: 19 October 2026
1. Scope and precedence
This Agreement governs use of a hosted administrative platform ("the Platform") operated by Verigent Group, LLC ("Verigent") for an organisation ("Client") under a Master Services Agreement and Statement of Work ("the Agreement Documents"). It applies to each individual authorised by Client to access the Platform ("Authorised User").
Where this Agreement conflicts with the Agreement Documents, the Agreement Documents govern. Nothing here expands or reduces what Verigent has contracted to deliver.
2. Licence grant
Subject to the Agreement Documents, Verigent grants Client a non-exclusive, non-transferable, non-sublicensable right, during the term, to access and use the Platform for Client's internal business operations, through Authorised Users.
3. Authorised Users
Access is personal to each Authorised User and granted to named accounts on an allowlist. Credentials must not be shared. Client is responsible for the acts and omissions of its Authorised Users and for promptly notifying Verigent when a person should no longer have access.
4. Permitted use
The Platform is provided for preparing, reviewing and tracking Client's own administrative, contractual and billing work. Authorised Users may generate documents, review prepared figures, record approvals, and export Client's own data.
5. Restrictions
Authorised Users may not: reverse engineer, decompile or attempt to derive source code; circumvent access controls or authentication; use the Platform to store protected health information or payment card data; use it on behalf of any organisation other than Client; introduce malicious code; or use automated means to extract data at a scale or rate beyond ordinary use.
6. Client data
Client retains all right, title and interest in Client data. Verigent claims no ownership. Verigent processes Client data as a processor on Client's instructions, as described in the Platform Services Privacy Notice.
7. Human approval and limits of the Platform
The Platform prepares and recommends; it does not act unilaterally on material matters. Specifically, and consistent with the Agreement Documents:
- It has no authority to transfer or disburse funds and no write access to payment systems.
- It drafts correspondence; it does not send it. Sending is performed by Client from Client's own accounts.
- It generates draft agreements for human review and routes them through a recorded approval chain. It does not execute contracts.
- It archives rather than deletes material records.
- It surfaces information and flags conditions. Final legal, medical, financial and employment decisions rest with Client.
Client is responsible for reviewing prepared figures, documents and correspondence before relying on or releasing them.
8. Third-party systems
Where Client authorises a connection to a third-party system, Client's use of that system remains governed by Client's own agreement with that provider. Verigent is not responsible for the availability, accuracy or acts of third-party systems. Client may revoke a connection at any time.
9. Availability and support
Availability, maintenance, support and response commitments are as stated in the Agreement Documents. Verigent may perform maintenance and will use reasonable efforts to minimise disruption.
10. Warranty
Verigent's warranty is as stated in the Agreement Documents. Except as expressly stated there, the Platform is provided on an "as is" basis and Verigent disclaims all other warranties to the extent permitted by law.
11. Limitation of liability
As stated in the Master Services Agreement.
12. Suspension and termination
Verigent may suspend an individual Authorised User's access where necessary to protect the Platform or Client data, notifying Client promptly. Termination of the engagement is governed by the Agreement Documents. On termination, access ends and Client data is returned or deleted at Client's direction.
13. Governing law
This Agreement is governed by the laws of the State of Florida.
